Buyer Representation Agreement

This is the agreement every Zagent account holder accepts when creating an account. The copy you accepted is kept on your account record exactly as it read that day.
If you signed an earlier version, that is the agreement between us: its terms are the ones you accepted, and they do not change because this page does. We will not move you onto a later version without asking you, and we have not asked. Your own copy is on your account record, and we will send it to you if you ask.
Who this agreement is between
This Buyer Representation Agreement is between you and Zora REI, Inc., a licensed New York real estate brokerage. By creating a Zagent account you engage Zora REI, Inc. as your buyer's broker, working through Zagent (an AI assistant) under the supervision of the brokerage's licensed staff.
What we do for you
We help you search for homes, analyze properties and market data, contact listing agents and other transaction parties at your direction, coordinate showings, and support you through offer, contract, and closing. Every plan includes representation and support through closing on a home you choose. We are licensed in New York and represent buyers on New York property only; if you decide to buy in another state we will tell you so plainly and can refer you to a brokerage licensed there.
The scope of monthly service is set by your plan
Each subscription plan includes a stated monthly capacity, shown before you choose it and on your account page: a number of market analyses, each reviewed and released to you by a licensed member of our team; a number of web searches of other listing sites; and a number of properties Zagent actively works on your behalf (contacting the listing side, questions, showings, follow-up). When a month's capacity is used, you can buy a pack for more, move to a higher plan, or wait for it to renew at the start of the next month. A message to Zagent is not itself counted against that capacity, though a web search or market analysis it leads to is, and the chat has a daily message limit, stated on your plan. Zagent's answers in the chat are AI-generated, are not individually reviewed by licensed staff, and should be verified before you rely on them; the market analyses are the reviewed deliverable.
This engagement is not exclusive
You may work with other brokers. You may end this agreement at any time from your account page, either by ending your representation, which keeps your account, or by closing your account. Either one cancels your subscription. We are paid only as described below.
What you pay: your subscription, and any packs you choose to buy
Your subscription fee is the monthly price of the plan you select, shown before you choose it and changeable or cancelable at any time. Subscription fees pay for search and service labor and are not refunded for partial months. You may also choose to buy packs of extra market analyses, web searches or actively worked properties, each at the price shown before you buy it. Your subscription and any packs you choose to buy are the whole of what you pay Zora REI, Inc. for representing you. Neither is a deposit against a closing fee, changing or cancelling your plan does not create one, and we will not add a commission, a shortfall or a cancellation charge to either of them or to the card you pay with.
What you pay at closing: nothing
You pay Zora REI, Inc. nothing at closing. There is no brokerage fee, no success fee, no transaction fee and no administrative fee payable by you when you buy a home while represented by us. Your only payments to us for this engagement are the subscription you separately accept and any packs you choose to buy. If the seller's side offers us nothing, you still owe us nothing. If the seller's side offers less than the amount in the next section, you owe us nothing for the difference — we give it up as against you rather than collect it from you. If whoever agreed to pay us does not pay, that is our problem to pursue with them and never becomes a bill to you. We will not charge the card on your subscription for any of it.
What the seller's side may pay us, and the most it can be
We may accept compensation from the seller or the listing broker for your purchase, up to 3% of the purchase price. That 3% is a ceiling, not an entitlement: it is the most we are allowed to take, not an amount we are owed, and the fact that a seller's side happens to offer 3% does not by itself mean we take 3%. Everything we receive for your purchase, from every source added together, has to stay inside that 3% — we will not accept a bonus, an incentive, or a fee under another name on top of it. Real estate compensation is not set by law and is fully negotiable; this figure is what we are proposing and you are free to negotiate it, and it can only change by a dated amendment you sign before the changed amount is earned.
This agreement cannot make the seller pay us
Nothing here obliges a seller, a listing broker, or anyone else who has not signed it to pay us anything. What this agreement does is permit us to accept a co-brokerage payment that the listing side has already agreed to make out of its own compensation. It does not create that payment and does not promise you that one exists. We will not require a seller to add compensation as a condition of representing you, and if asking for a contribution in your offer ever makes sense, that is your decision to approve, not ours to make.
Your other costs in the purchase are separate
Paying us nothing at closing does not mean a purchase with no costs. Your attorney, your home inspector, your lender's fees and points, your appraisal, your title and recording costs, your deposit and your down payment are all yours, are charged by the people who provide them, and are not affected by this agreement. We can coordinate them; we do not mark them up and we do not pay them for you.
If you cancel: the 90-day protection period
You can cancel any time. If, within 90 days after cancellation, you sign a contract to purchase a property that Zagent actively worked for you during your subscription — one where we contacted the listing side, coordinated a showing, or otherwise engaged on your behalf — we may still pursue the seller-side compensation described above from whoever agreed to pay it. This never creates a payment owed by you: your closing payment stays nothing during the protection period, and cancelling never triggers a fee, a shortfall or a further subscription charge. The list of properties this covers is visible on your account page at any time and is provided to you in writing when you cancel. Homes you find and pursue entirely without us are never covered.
We tell you what the seller side is offering
Before you sign a purchase contract on any home, we disclose to you whether the seller or the seller's broker is offering compensation toward your purchase, how much, on what conditions, and how much of it we would accept — and we confirm at the same time that your own payment at closing is still nothing. We update that if it changes before contract or closing. We do not hide, rank or leave out homes according to what the seller's side offers us, and we never will.
No end-runs
If a home Zagent actively worked for you is purchased during the term or the protection period, it counts as your purchase whether the buyer of record is you or a relative, partner, or entity acting on your behalf or under your direction. Buying through someone else is buying. What follows from that is still only the seller-side compensation above, payable by whoever agreed to pay it — this section does not make you or your relative owe us a fee.
Outside services are yours
Services you order from outside professionals — inspections, surveys, appraisals, engineering reports — are contracted and paid by you. We can coordinate them; we don't mark them up, and we don't select them for you.
Compensation is negotiable
Real estate compensation is not set by law and is fully negotiable. Nobody sets the 3% ceiling above except the two of us, in this agreement. The amounts here are our standard terms; if different terms are agreed with the brokerage in writing, the written variation controls.
Inspectors, attorneys, lenders and other professionals
You may ask Zagent to find you a home inspector, an attorney, a mortgage loan originator or another professional. When it does, it reports what public review sources such as Google show for that area, with the rating and the number of reviews attributed to the source. That is a search result, not a recommendation, and not an endorsement by Zora REI, Inc. We do not check their licence, insurance, standing or the quality of their work, and we are not responsible for what they do for you. You are free to hire anyone you like, whether or not Zagent found them. Zora REI, Inc. receives no fee, commission, discount or anything else of value for showing you a professional, and no one can pay to appear in what Zagent shows you. Before you hire anyone, confirm their licence and insurance yourself; New York licence records are public and a licensed member of our team will help you check.
New York agency disclosure
New York law requires licensees to present a separate statutory agency disclosure form describing agency relationships. This agreement is not that form. It is presented to you separately, on the sign-up page, above this agreement, and no account is opened without your acknowledgment of it.
The rest of the terms
The Zagent Terms & Conditions and Privacy Policy are part of your agreement with us and cover the service itself — including that Zagent is an AI, that AI-generated information should be verified, fair-housing commitments, limits of liability, and New York governing law. Together with them, this is the entire agreement between us and replaces any earlier understanding; it can be changed only in a writing agreed with the brokerage. If any part of it is held unenforceable, the rest stands.
Version history
buyer-agreement-v7· September 25, 2026 — Corrections, and no change to what you pay at closing or to the 3% ceiling. PACKS. v6 said your subscription is the whole of what you pay us, and that it is your only payment for the engagement. You can also buy packs of extra market analyses, web searches or actively worked properties, so the agreement now says what you pay is your subscription and any packs you choose to buy. MARKET ANALYSES. v6 called them broker-reviewed. A licensed salesperson can also review and release one, so it now says a licensed member of our team does. CHAT. v6 said chatting with Zagent is available without limit. The chat has a daily message limit, and a message can lead to a web search or a market analysis that counts against your monthly capacity. The agreement now says both. It also names the monthly web searches, which v6 left out of the monthly capacity, and says a pack is one way to get more when a month's capacity is used. ENDING IT. v6 said you end the agreement by cancelling your subscription and closing your account. Your account page also lets you end your representation and keep your account, and the agreement now names both. THE AGENCY DISCLOSURE. v6 said a licensed member of the team gives you New York's agency disclosure form at the appropriate point. The sign-up page presents it, above this agreement, and the agreement now says that. Zagent had no live clients on this date, so nobody had signed v6.buyer-agreement-v6· September 23, 2026 — THE MONEY TERMS CHANGED, on the owner's decision of the same day. v5 charged the client a brokerage fee at closing of 0.5% of the purchase price "or, if the seller or listing side offers buyer-broker compensation in a greater amount, that offered amount" — a fee with no upper bound set by the agreement. That clause is removed. The client now pays Zora nothing at closing: their subscription is their only payment to Zora for the engagement, and neither an absent offer nor a payor who agrees and then does not pay turns into a bill to them. Zora may accept compensation from the seller or the listing broker up to an exact 3% of the purchase price counting every source together; that 3% is a ceiling on what may be accepted and not an amount owed, so an offer of 3% does not by itself mean 3% is taken, and a smaller offer is taken as offered with the shortfall waived against the client. New sections say that this agreement cannot oblige a seller to pay and only permits a co-brokerage payment the listing side has already agreed to make, and that the client's own attorney, inspection, lending, deposit and closing costs are separate and unaffected. The protection period after cancellation now pursues the seller's side and never the client. Everyone who signed v5 or earlier remains on the terms they signed until they accept new ones; nothing in this change moves them, and there is no re-acceptance flow in the product.buyer-agreement-v5· September 10, 2026 — RECONSTRUCTED from the repository when this log was started on 2026-09-23.
